Acceptance of the Terms of Use
These terms of use are entered into by and between you and Society for Clinical Research Sites, Inc., and SCRS Corporation (collectively, “Company,” “we,” or “us“). The following terms and conditions, together with any documents they expressly incorporate by reference, including the Privacy Policy, found at myscrs.org/policies/privacy-policy (collectively, “Terms of Use“), (i) govern your access to and use of myscrs.org, and any other domain you access owned by the Company, including any content, functionality, and services offered on or through such domains (the “Website“), whether as a guest or a registered user, and (ii) govern your attendance at and/or participation in (whether as an attendee or exhibitor or speaker) at any SCRS-sponsored event, including but not limited to the European Site Solutions Summit, the IncluDE Site Solutions Summit, the Oncology Site Solutions Summit, the SCRS West Site Solutions Summit, the Australia & New Zealand Site Solutions Summit, and the Global Site Solutions Summit (collectively or individually, an “Event”) (except as expressly modified by a written agreement, duly executed between Company and you) (your access to the Website or attendance or participation at an Event are hereinafter collectively referred to as your “Participation” or “Participate” or “Participating”).
Please read the Terms of Use carefully before you start to Participate. By Participating, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by the Terms of Use. If you do not want to agree to the Terms of Use, you must not Participate.
Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all Participation.
Your continued Participation following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page so you are aware of any changes, as they are binding on you.
Accessing the Website and Account Security
We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.
Trademarks
The Company name, the terms Site Solutions Summit, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
Prohibited Uses
You may use the Website only for lawful purposes and in accordance with the Terms of Use. Additionally, you agree not to:
- Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

User Contributions
The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through access provided by the Website.
All User Contributions must comply with the Content Standards set out in these Terms of Use.
Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.

- You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.
Monitoring and Enforcement; Termination
We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY/SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we do not undertake to review all material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. - Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Copyright Infringement
If you believe that any User Contributions violate your copyright, please see email us at info@myscrs.org to provide us a notice of copyright infringement. User accounts of repeat infringers will be terminated.

The information presented on or through the Website or at an Event is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website or attendee or participant at an Event, or by anyone who may be informed of any of its contents.
This Website and Events include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided directly by the Company, are solely the opinions and the responsibility of the individual providing those materials. These materials do not necessarily reflect the opinion of the Company. Event Attendance
- Registration for Events
- Validly registering for an Event entitles you to admittance for that Event, subject to the Terms of Use. Any optional extras may incur an additional cost to the basic registration fee.
- We reserve the right to exclude from any Event any individual whose name does not appear on our register of attendees or participants at the start of the Event.
- If you register for an Event as a representative of a company or other organization you confirm that you have authority to agree to these Terms on behalf of the company or other organization. You shall also ensure participants from the company or other organization attending the Event are made aware of and shall be bound by these Terms.
- When registering for an Event, you must provide us with accurate and complete registration details. It is your responsibility to inform us of any changes to that information (including, without limitation, your email address) by updating your details on the relevant section of the applicable website or contacting us using the contact information provided to you in any Event confirmation.
- It is your responsibility to inform us of any special access requirements at the time of registration, and in any event no later than 2 working days in advance of the Event.
- All registrations for Events are subject to availability and to acceptance by the Company at its absolute discretion.
- Where an Event requires an event pass to enable entry, you may be required to provide evidence of your identity for your pass to be issued to you. Participants must keep their event pass on their person at all times during their attendance at the Event and the Company reserves the right to refuse entry or eject to participants who fail to produce a pass when requested.
- If your Event pass is lost, misplaced, stolen or forgotten a replacement Event pass will only be issued to you at the sole discretion of the Company and may be subject to purchase at the prevailing on-site rate.
- By attending the Event you acknowledge that photographs and filming may take place at the Event. The Company reserves the right to use images and videos recorded at the Event with your photograph and/or likeness in future marketing materials, including social media channels, websites, and print material, without obtaining any further approval from you or making any payment to you. If you do not wish your photograph to be taken at an Event please notify the photographer during the Event and we will use reasonable endeavours to comply with your request. Please review the applicable Privacy Policy for further details.
- Participants must be over the age of 18.
- Participants may not sell, transfer, or share their Event passes. Registered participants may be substituted by other individuals at no extra cost by notice in writing to the Company at any time, subject to compliance with these Terms, including (without limitation) the need for any substitute individuals to provide necessary registration details at least 2 business days in advance of attending the Event and subject to screening.
- All Event passes are the property of the Company and must be returned to the Company upon request. Attendees found wearing falsified Event passes and/or sharing or swapping Event passes shall be required to leave the Event.
- Attendance Requirements
- 3.1 Each participant shall:
- observe the rules, policies and procedures of the Event venue including in relation to health and safety and any reasonable instructions issued by the Company and/or the management of the Event venue and/or the online Event platform;
- behave in a respectful, professional and appropriate way that does not breach the laws or regulations of their home country or of the host country or that risks bringing the Event or the Company into disrepute;
- ensure they have adequate insurance for their own requirements, including personal accident and travel insurance, prior to attending any Event; and
- ensure they have all necessary travel documentation, including but not limited to visas and other entry permits into the country where the Event is held, and that they comply with all health formalities and any applicable laws.
- You agree that your travel to and attendance at an Event is at your own risk and not the responsibility of the Company. The Company is not obliged to provide any advice or assistance relating to the obtaining of visas. Failure by any participant to obtain a visa to attend an Event shall not entitle them to a refund of any Fees.
- Other than as agreed to in writing signed by Company, participants are only permitted to conduct business within a designated exhibit space at the Event venue. Participants observed conducting business in public spaces or in other companies’ exhibition spaces may be ejected from the Event.
- The Company reserves the right to refuse entry by any participant to an Event or to remove any participant from an Event or block them from an online Event platform without any liability for any reason and at its sole discretion.
- The Company reserves the right to recover from you any loss or damage incurred or suffered by us, the Event venue, the online Event platform or any other participants as a result of your conduct at the Event or failure to comply with these Terms of Use. In such circumstances, a participant shall not be entitled to a refund of any kind.
- Payment in full of any applicable fees for the Event is due upon registration. All fees shall be paid in full without any set-off, counterclaim, deduction or withholding (other than as may be required by law)
- 3.1 Each participant shall:
- Intellectual Property
- All intellectual property rights in and to Events and in any content and/or materials relating to Events are the property of the Company or its third party providers. We may provide a license to third parties, including Event sponsors, to use such content or materials at our sole discretion.
- Participants may use any Event content or materials solely for their own personal use and benefit and not for resale, distribution or other commercial purposes.
- The Event trademarks may not be used without the Company’s prior written permission.
- Any request for permission to republish, reprint or use for any other purpose any of the Event content or materials or Event trademarks should be sent by email to info@myscrs.org.
- Event Cancellations.
- Although the Company’s Event programs and agendas are correct at the time of publication, we may exchange the format, content, venue, speakers, hosts, moderators and/or timing of an Event, including a change from a physical Event to an online Event. The Company shall use its reasonable efforts to notify participants of any such changes prior to an Event.
- All cancellations by participants must be received in writing no later than 120 days before the first day of the Event for a full refund of participant’s fees paid, less a $195.00 administration charge. We cannot accept verbal cancellations. Participants whose cancellations are received after this deadline shall be liable for full registration fees and no refunds will be given.
- Notifications of cancellations should be sent in writing to the Company contact designated in the Event registration confirmation as soon as possible (and in any event at least two business days before the Event).
- We may in exceptional circumstances need to cancel or postpone an Event, in which case we shall notify you as soon as reasonably practicable. In the event of cancellation or postponement, subject to Force Majeure provisions herein, we shall, at our sole discretion, either (i) issue to you a full refund of relevant fees paid by you, (ii) reschedule the Event; or (iii) switch the Event from a physical Event to an online Event. In the event of postponement or reschedule, we shall offer you the option to re-register for the rescheduled Event at no additional cost to you, subject to Force Majeure provisions herein, or we may (in our sole discretion) issue you a full refund of relevant fees paid by you. Our sole liability to you as a result of any cancellation or postponement of an Event shall be limited to the amount of fees which you have paid to us for that Event only and we shall not be liable for any additional losses (whatever they may be, to the fullest extent of applicable law) incurred by you as a result of such cancellation or postponement.
- Force Majeure
- For purposes of the Terms of Use, “Force Majeure” means circumstances which are beyond our reasonable control and which are reasonably likely to affect the successful delivery of the Event or would make it, in the sole discretion of the Company, inadvisable, impracticable, illegal, or impossible for us to host the Event or perform our obligations under these Terms of Use, including circumstances, which directly affect the participants in their home countries resulting in a material percentage of the participants being reasonably likely to be prevented from attending the Event.
- If, as a result of Force Majeure, the Company cancels the Event, the Company shall use its commercially reasonable efforts to either (i) reschedule the Event; or (ii) switch the Event from a physical Event to an online Event (at the sole discretion of Company), in each case to take place as soon as is reasonably practicable under the circumstances. In any event, no refunds will be issued for an Event cancellation pursuant to this Section.
- The Company accepts no liability and shall pay no compensation where the performance of its obligations is made impracticable, illegal or impossible by or as a result of Force Majeure.
- Trade Sanctions
- Neither you, nor, so far as you are aware, any agents or other persons acting on your behalf:
- is listed on the “Specially Designated Nationals and Blocked Persons” list maintained by the Office of Foreign Assets Control of the United States Department of the Treasury (“OFAC”) or any similar list maintained by the United Nations, the United Kingdom, the European Union, or any other relevant governmental entity;
- directly or indirectly, has conducted, conducts or is otherwise involved with any business with or involving any government (or any sub-division thereof), or any person, entity or project, targeted by, or located in any country that is the subject of, any of the sanctions administered by OFAC or any equivalent sanctions or measures imposed by the United Nations, the United Kingdom, the European Union or any other relevant governmental entity (collectively “Sanctions”);
- directly or indirectly supports or facilitates, or plans to support or facilitate or otherwise become involved with, any such person, government, entity or project; or
- is or ever has been in violation of or subject to an investigation relating to Sanctions.
- Each participant shall ensure they are legally entitled to attend the Event and by attending each participant warrants that they are not the subject of any Sanctions or trade controls or other restrictions that mean they should not attend.
- Neither you, nor, so far as you are aware, any agents or other persons acting on your behalf:
Disclaimer of Warranties
YOUR PARTICIPATION IS AT YOUR OWN RISK. THE WEBSITE, ALL EVENTS, ANY CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR EVENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF ANY CONTENT. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE WEBSITE, EVENTS, ANY CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR EVENTS WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE, EVENTS OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR EVENTS WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION (AS DEFINED IN THESE TERMS OF USE), INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
the Company’s total liability to you, whether based on an action or claim in contract, tort (including negligence), breach of statutory duty or otherwise arising out of, or in relation to these Terms shall not exceed the total amount of Fees paid or payable under these Terms OF USE.
THE FOREGOING PROVISIONS OF THIS “LIMITATION ON LIABILITY” SECTION DO NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your Participation.
Governing Law and Jurisdiction
These Terms of Use and your Participation, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Pennsylvania or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or your Participation shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Pennsylvania, in each case located in the City of Philadelphia and County of Philadelphia, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Arbitration
At Company’s sole discretion, it may require you to submit any disputes arising from these Terms of Use or your Participation, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Pennsylvania law.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR PARTICIPTATION (AS DEFINED HEREIN) MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
Solely except to the extent expressly set forth in a written agreement, duly executed between you and the Company, the Terms of Use constitute the sole and entire agreement between you and SCRS regarding your Participation and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding any such Participation.
